什么是STO代币？

STO stands for Security Token Offering.

Similar to an initial coin offering (ICO), the investor receives a cryptocurrency or token representing his investment. However, unlike an ICO, a security token is an investment contract in underlying investment assets such as stocks, bonds, funds and real estate investment funds (REITs).

"Security" can be defined as "a convertible, negotiable financial instrument that has some type of monetary value", i.e. an investment product that is secured by real assets such as a company or real estate.

The security token is therefore information about the ownership of the investment product, recorded in the blockchain. When investing in traditional stocks, for example, ownership information is recorded on a document and issued in the form of a digital certificate (e.g. PDF). In the case of STO, it is the same process, but saved on the blockchain and issued in symbolic form.

An STO can also be seen as a hybrid between a cryptocurrency ICO and a more traditional Initial Public Offering (IPO), as both methods overlap with both fundraising methods.

STO Security Token Offering is a type of public offering where tokens of digital securities, called security tokens, are sold on cryptocurrency exchanges. Tokens can be used to trade real financial assets such as stocks and fixed income, and to use the Blockchain virtual ledger system to store and validate token transactions.

Because tokens are classified as securities, STOs are more susceptible to regulation, a safer investment alternative than ICOs, which have been the subject of numerous fraudulent schemes. However, an STO on a regulated stock exchange (called a tokenized form of IPO) can provide better efficiency and cost savings.

Tokens are not traded on regular token exchanges. Exchanges wishing to offer tokens must fully comply with the regulations, including conducting extensive research on token listings, data exchange and investor procedures. Therefore, tokens are traded on specialized exchanges.

What are the benefits of STO?
In 2017-2018, many token issuers sold lots of tokens to investors without any property rights, value or respect for applicable investment contract laws.

STO is intended to be a compliant alternative to regular token sales. They are intended to correct perceived inequalities on the part of investors, such as granting token holders the right to dividends or other predefined revenue streams.

STO tokens are also beneficial for issuers. There is no need to declare tokens as having no intrinsic economic value, and their responsibilities to stakeholders regarding token distribution, issuance procedures and secondary market transactions are usually clearly defined.
